	Terms & Conditions :	This agreement contains the complete terms and conditions that apply to a participant in the Health Mark Laboratories Webmaster Partner Program (the “Program”) owned and operated by Health Mark Laboratories (“Health Mark”, the “Company,” “we”, or “us”), A Florida Corporation. As used in this agreement “you”, “your” or “yours” means applicant/partner/affiliate/participating member, and “site” means website/World Wide Web site. This is a legal agreement between you and Health Mark Laboratories. By clicking Submit on the Program submission form you are affirmatively stating that you have read the and understand the terms and conditions set forth herein and are affirmatively indicating your acceptance of the Program Agreement and you agree to be bound by the terms hereof. You cannot become a member of the partner program unless you have accepted each and every term hereof. 1. Program Enrollment The enrollment process begins when you submit a complete Partner Application form. We will evaluate your application in good faith and will notify you of your acceptance or rejection usually within 24 hours. We may reject your application, after reviewing your sites and other information submitted, for any reason including, but not limited to, incomplete signup, submission of inaccurate information, determine that you are under 18 years of age, determine that your site is unsuitable for the Program, if your site incorporates “Content Restrictions” such as unlawful, defamatory, obscene, harassing, or otherwise objectionable involvement, such as sites that facilitate illegal activity, promote violence or assist others in copyright infringement. 2. Promotional Materials The Company shall make available to you certain website templates, banner advertisements, button links, text links, and/or other graphic or textual material for display and use on your site (the "Promotional Materials"). You shall display the Promotional Materials on your site and / or domain name prominently and as you see fit, provided that the manner of display shall be subject to the terms and conditions of this Agreement. You shall also include a link from the Promotional Materials to Company's website, as specified by Company. 3. Use of Promotional Materials Your use and display of the Promotional Materials on your sites shall conform to the following terms, conditions and specifications; a) You may not use any graphic, textual or other materials to promote Company's website, products or services other than the Promotional Materials, unless Company agrees to such other materials in writing prior to their display, b) You may only use the Promotional Materials for the purpose of promoting Company's products (and the products and services available thereon), and for linking to Company's websites and/or software, c) You are required and must provide, purchase, and be responsible for installing and maintaining your own hosting, domain name, and Secure Socket Layer (SSL) certificate when choosing to utilize a website template from the Company, d)The Promotional Materials will be used to link only to Company's website, to the specific page and address as specified by Company, e) You will not alter, add to, subtract from, or otherwise modify the Promotional Materials as they are prepared by Company. If you wish to alter or otherwise modify the Promotional Materials, you must obtain prior written consent from Company for such alteration of modification. CAN-SPAM Act. If you are using online or other electronic methods of sales channels, you must comply with the 2003 CAN-SPAM Act. You agree that the Company may terminate you from the Partner Program if the rules of the aforementioned Act are not followed. 4. Responsibility for Your Site. You will be solely responsible for the development, operation and maintenance of your site and for all materials that appear on your site. You are not a Health Mark Laboratories agent, and we shall have no responsibility for the development, operation and maintenance of your site and for all materials that appear on your site. You shall also be responsible for ensuring that materials posted on your site do not violate or infringe upon any laws, or the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights), and are ensuring that materials posted on your site are not libelous or otherwise illegal. You must have express permission to use another party’s copyrighted or other proprietary material. We will not be responsible if you use another party’s copyrighted or other proprietary material in violation of the law. In addition to the foregoing, we will immediately terminate your participation in the Program if we believe you have engaged in any of the following, but not limited to; unsolicited bulk email, IRC or IM advertising, forged header mailings or any other form of mailing, in violation of federal or state law, provide inaccurate or incomplete information to Health Mark Laboratories concerning your identity, bank account, address or other required information, attempt to cheat, defraud or mislead us in any way, misrepresent to the public the terms and conditions or content of our sites or your sites, promote passwords, MP3’s, or Warez, own or operate a web site in connection with a person who is under 18 years of age, altering by electronic, mechanical or automated means or other technologies, that may now exist or come into existence, the program webmaster partner code or Program site URLs belonging to or identified with accounts other than your own, or causing the modification or substitution of Program webmaster partner code or Program site URLs belonging to or identified with accounts other than your own that may reside within or originate from a third party system in the form of bookmarks, cached pages, cookies or other stored forms that may be passed to the Program and/or Company system by user operation of said third party system, your use of Health Mark Laboratories or any variation or misspelling within any URL or in the name or title of your site, hosting graphics, images or other files that are owned by Health Mark Laboratories, making any statement, whether on your site or otherwise, that reasonably would contradict anything in this Agreement. 7. License Company hereby grants to you a nonexclusive, nontransferable license (the "License") to use the Promotional Materials as specified under the terms and conditions of this Agreement. The term of the License shall expire upon the expiration or termination of this Agreement. 8. Commissions. The Company defines “Sale” when a customer successfully purchases one of the Company’s products with a verified U.S. Credit Card and Company makes the first successful charge on the same credit card. Company shall keep accurate and up-to-date records of the data used to determine the total amount of Commissions owed to you. You shall be given reasonable access to these records upon request. Any discrepancy between the amount of Commissions owed according to these records, and the actual amount of Commissions paid to you in any period or periods shall be rectified by Company within 14 days of discovering such discrepancy. The Company will pay you a commission per sale coming from your Links and / or Websites. The Commission Rate is subject to change from time to time, upon email notice to you and commencing the 15-days following such notice. Note that a commission will only be paid if the customer to our system can be tracked by the system from the time of the Link to the time of the sale. No commission will be paid if the customer's payment to our site cannot be tracked directly to your site by our system or if full payment for services is not made to us by the customer. No commission will be paid for purchases by you or anyone within your organization. The Company may apply a debit to your account in an amount equal to a Commission previously credited to the your account in circumstances of: (i) product returns; (ii) duplicate entry or other clear error; (iii) non-bona fide Transactions; (iv) non-receipt of payment from, or refund of payment to, the customer by the Company; or (v) Your failure to comply with the Company's Terms of Service or other agreement with Company ("Chargeback"). Charge backs may be applied to your account at any time, including previous payment cycles. The number of days by which applied debits are calculated as a result of charge backs (and cancellations) are governed by your account standing with the Company. The Chargeback Period is determined by the Company and displayed on your online account. 9. Payment of Commissions Company shall pay all Commissions accrued and payable to you weekly every Monday for the week ending 7days prior to the payment date with your choice of either a check payment mailed via United States Postal Service or Wire Transfer for payments of $500 or more. The Company is not responsible for lost commissions resulted by faulty links on sites managed and maintained by you. Payment periods are defined and calculated from Sunday 12:00am to Saturday 11:59pm by U.S. Eastern Standard time. No banking or mailing fees will be deducted from your commission payment. 10. Taxes The Company shall not be responsible for any taxes owed by you arising out of your relationship with the Company as set forth in this Agreement. The Company shall not withhold any taxes from the Commissions paid to you. If you are located in or are a Corporation within the United States, the Company requires you to provide Internal Revenue Service Form W-9 before making the first commission payment. By submitting a W-9, you certify that the tax id number provided is correct and accurate and that you are not subject to backup withholding. 11. Independent Investigation You acknowledge that you have read this Agreement and agree to all its terms and conditions. You understand that we may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this Agreement or operate web sites that are similar to or compete with your web site. You have independently evaluated the desirability of participating in the Program and are not relying on any representation, guarantee or statement other than as set forth in this Agreement. We have the right to monitor your Web site at any time and from time to time to determine if you are in compliance with this Agreement. We also reserve the right to review all commissions for possible fraud. Any incidence of fraud constitutes a breach of this Agreement, and Health Mark Laboratories retains the right to terminate this Agreement immediately. 12. Modification. We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion. Notice of any change by email, to your address on our records, or the posting on our site of a change notice of a new Agreement, is considered sufficient notice for notifying you of a modification to the terms and conditions of this Agreement. Modifications may include, but are not limited to, changes in the scope of available commission fees, commission schedules, payment procedures, and PartnerProgram rules. All such modifications shall take effect 48 hours after we serve notice as provided above, unless we indicate otherwise. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Partner Program, following our posting of a change notice or new Agreement on our site will constitute binding acceptance of the change. 13. Relationship of Parties. Nothing in this Agreement will create any partnership, joint venture, agency franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section. You are not an agent of Health Mark Laboratories and Health Mark Laboratories expressly disclaims responsibility for any conduct by you in violation of our terms of Agreement. 14. Confidentiality Any information that you are exposed to by virtue of its relationship with the Company under this Agreement, which information is not available to the general public, shall be considered to be "Confidential Company Information." You may not disclose any Confidential Company Information to any person or entity, except where compelled by law, unless you obtain prior written consent for such disclosure from the Company. 15. Limitation of Liability The Company shall not be liable for any loss of profits or costs, or for any direct, indirect, special, incidental or consequential damages, including costs associated with the procurement of substitute goods or services (whether Company was or should have been aware or advised of the possibility of such damage), arising out of or associated with any loss, suspension or interruption of service, termination of this Agreement, use or misuse of the Promotional Materials, or other performance of services under this Agreement. 16. Indemnification You hereby agree to indemnify, defend and hold harmless Health Mark Laboratories, its shareholders, officers, directors, employees, agents, affiliates, successors and assigns, from and against any and all claims, losses, liabilities, damages or expenses (including attorneys’ fees and costs) of any nature whatsoever incurred or suffered by us (collectively the “Losses”), in so far as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim or threatened claim that our use of the Partner Trademarks infringes on the rights of any third party; (ii) the breach of any promise, covenant, representation or warranty made by you herein; or (iii) or any claim related to your site. 19. Entire Agreement This Agreement constitutes the entire agreement between the Company and you, and supersedes any prior understanding or representation of any kind preceding the date of this Agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.
